Server Upgrade from W2003 to W2008


hi - general, feedback on scenario:

server 1 - w2003 r2 standard x64 edition service pack 2

server 1 - configured application (web front-end) server sharepoint server 2007 (iis, asp.net 2.0, .net framework 3.5, smtp)

server 2 - w2003 r2 standard x64 edition service pack 2

server 2 - configured database server sharepoint server 2007 (sql2008 standard edition 10.0.1600.22)

scenario: want upgrade server 2 w2008 r2 in preparation upgrade of sharepoint 2010. @ same time create couple of low workload virtual machines on server 2.

question: scenario ok inplace upgrade of server 2?

question: there defined problems running sql on host os of w2008 server running couple of virtual machines... or there guidelines virtual configuration.
